CONSTITUTION OF THE UNITED NATIONS ASSOCIATION OF CHINA

 

Chapter I

General Articles

Article 1

The name of the Association shall be ¡°United Nations Association of China¡±, which is abbreviated as ¡°UNA-China¡± (Hereinafter referred to as ¡°the Association¡±).

 

Article 2

The Association shall be a professional, national, non-profit social organization, and is open to the general public and social organizations that are enthusiastic about the cause of the United Nations.

 

Article 3

The purposes of the Association shall be: disseminate knowledge about the United Nations; promote understanding, research and dissemination of the UN and its activities; enhance mutual understanding, friendship and cooperation among peoples of all nations; contribute to the maintenance of world peace and development of common prosperity, and to the realization of the purposes and principles of the Charter of the United Nations.

 

Article 4

The Association shall carry out its work and activities in accordance with the Regulations of Registration and Administration of Social Organizations.

 

Article 5

The Association shall be headquartered in Dongcheng District, Beijing.

 

 

Chapter II

Scope of Activities

Article 6

The scope of the Association¡¯s activities shall be:

(1) dissemination of knowledge about the United Nations and promotion of the understanding, research and dissemination of the Charter, the organization and activities of the United Nations;

(2) participation in the meetings, conferences and activities of the World Federation of the United Nations Associations (WUFNA);

(3) participation in conferences of the United Nations and other relevant international organizations;

(4) development of contacts, exchanges and cooperation with United Nations Associations of other countries;

(5) compilation and publication of books on the United Nations in accordance with relevant laws and regulations.

 

 

Chapter III

Membership

Article 7

The Association shall admit both organizational and individual members.

 

Article 8

Membership shall be open to those who satisfy the requirements as follows:

(1)      support for the Constitution of the Association;

(2)      willing to join the Association;

(3)      enjoy prominence in the fields (activitysubject) of the Association¡¯s work.

 

Article 9

Application of membership:

(1) submission of an written application;

(2) approval by the Council or Executive Board of the Association and

(3) issuance of a membership card by the Council or any organ authorized by the Council.

 

Article 10

Members shall be entitled to the following rights:

(1) to electbe elected and vote;

(2) to participate in the activities of the Association;

(3) to enjoy the priority of services offered by the Association;

(4) to comment and advise on and supervise the work of the Association, and

(5) to withdraw membership from the Association.

 

Article 11

Members shall have the following obligations:

(1) to observe the Constitution of and Resolutions made by the Association;

(2) to vindicate lawful rights and interests of the Association;

(3) to support the work and activities of the Association, and

(4) to pay membership fee.

 

Article 12

Any member who wishes to withdraw from the Association shall submit a written statement and return the membership card.

 

Article 13

In case of serious violation of the Constitution, membership may be cancelled by a vote of the Council or the Executive Board.

 

 

Chapter IV

Governing Bodies and Election and Recall of Officials

Article 14

The Plenary Assembly is the highest governing bodof the Association, and its functions and powers are as follows:

(1) ratification of and amendment to the Constitution;

(2) election and recall of Council Members;

(3) deliberation of working and financial reports of the Council;

(4) ratification and amendment to the membership fees;

(5) decision on the termination of the Association, and

(6) decision on other important matters.

 

Article 15

The quorum of the Plenary Assembly shall be more than half of the members and resolutions shall be adopted by a simple majority of the vote.

 

Article 16

A term of membership of the Plenary Assembly is five years. Shortening or extension of the term under contingent circumstances shall be decided by a vote of the Council, approved by the government department in charge and confirmed by the government department of registration and administration osocial organizations. But the extension of the term should not be more than one year.

 

Article 17

The Council is the executive body of and is responsible for the Plenary Assembly, whose functions and powers are:

(1) to deliberate on and amend the Constitution;

(2) to implement the Resolutions of the Plenary Assembly;

(3to elect and recall the President, Vice-Presidents, Director-General and Members of the Executive Board;

(4to prepare for the convening of the Plenary Assembly;

(5to submit working and financial reports to the Plenary Assembly;

(6to determine the approval and denial of membership applications as well as cancellation of membership;

(7to determine the establishment of working body, branch officesrepresentative bodies or entities;

(8tmake working plan and supervise its implementation;

(9to decide on the establishment of honorary posts, and

(10to decide on other important matters.

 

Article 18

The Council shall not be convened unless over 2/3 of its members are present. Resolutions shall be adopted with affirmative vote of over 2/3 of the members present.

 

Article 19

The Council shall meet at least once every year. Meetings may also be held through correspondence under special circumstances.

 

Article 20

The Executive Board of the Association consists of a President, Vice-President, Director-General, Deputy Director-General and Members of the Executive Board. It shall perform functions prescribed in paragraphs (2), (4), (6), (7) and (8) under Article 17 between meetings of the Council and shall be responsible to the Council. The Executive Board shall direct the work of the Secretariat of the Association.

 

Article 21

The Executive Board shall meet every 6 months. Meetings shall not be held without over 2/3 of its members present. Resolutions shall be adopted by an affirmative vote of over 2/3 of the members present.

 

Article 22

Each term of office of the President, Vice-Presidents and Director-General shall be five years. No office shall be held more than 2 terms consecutively.

 

Article 23

The President of the Association shall be the legal representative of the Association. Under special circumstances, entrusted by the President, approved by the Executive Board, approved by the government department in charge and confirmed by the government department of registration and administration of social organizations, the Vice-President or the Director-General shall be the legal representative of the Association. The legal representative of the Association shall sign important documents on behalf of the Association. The legal representative of the Association shall not be the legal representative of any other organization concurrently.

 

Article 24

President of the Association shall perform the following duties:

(1) to call and preside over Council and Executive Board meetings;

(2) to supervise the implementation of the Resolutions of the Plenary Assembly, the Council and the Executive Board.

 

Article 25

The Association has a secretariat as an administrative and coordinating  organ and headed by the Director-General. The Director-General shall exercise the following duties:

(1) to preside over the work of the Secretariat and other working bodies on their routine work and the implementation of annual working plan;

(2) to coordinate the work of branch offices, representative bodies and entities;

(3) to nominate the candidate for the Deputy Director-General and chief officials of branch officesrepresentative bodies and entities for the consideration of the Council or Executive Board;

(4) to determine on the appointment of full-time employees of the Secretariat, offices and agencies, and

(5) to handle other routine works.

 

 

Chapter V

Financial Income and Property

Article 26

Financial income of the Association shall be from:

(1) membership dues;

(2) donation;

(3) government subsidy;

(4) bank account interest, and

(5) other lawful income.

 

Article 27

The Association shall implement strict financial regulations and guarantee the lawfulness, authenticity, accuracy and completeness of the accounting records.

 

Article 28

Salaries, social insurance and fringe benefits of the full-time employees of the Association shall be decided in accordance with the relevant laws and regulations.

 

 

Chapter VI

Amendment to the Constitution

Article 29

Amendments to the Constitution of the Association shall be adopted by the Council and approved by the Plenary Assembly.

 

Article 30

Amendments to the Constitution shall be effective by the approval of the government department in charge and reported to the government department for registration and administration of social organizations within 15 days after the approval by the Plenary Assembly.

 

 

Chapter VII

Procedure of Termination and Transaction of Properties

Article 31

The termination of the Association due to completion of its purposesor disbandment of the Associationor its division or merging shall be motioned by the Council or the Executive Board.

 

Article 32

The termination of the Association shall be decided by vote of the Plenary Assembly and approved by the government department in charge.

 

Article 33

Before the termination of the Association, a liquidation organization shall be established under the instruction of the government department in charge and other relevant government departments to settle claims, debts and other issues. In time of the liquidation, the Association shall not carry out any other activities.

 

Article 34

The termination of the Association shall become effective upon its registration being cancelled by the government department for registration and administration of social organizations.

 

Article 35

The remaining property after the termination of the Association shall be used to the causes related to the purposes of the Association under the supervision of the government department in charge and the government department for registration and administration of social organizations in accordance with the relevant rules and laws of the country.

 

 

Chapter VIII

Supplementary Articles

Article 36

This Constitution of Association was approved by the 6th Plenary Assembly on July 4, 2018.

 

Article 37

The right of interpretation of the Constitution shall reside in the Council of the Association.

 

Article 38

This Constitution shall take effect upon approval of the government department for registration and administration of social organizations.
